You will be responsible for the following: 

Regulatory Requirements of a Publicly-Listed Company

  • Ensure compliance with the regulatory requirements of the Securities and Exchange Commission ("SEC"), The Philippine Stock Exchange, Inc. ("PSE"), and other relevant regulatory agencies for PLCs.

  • Draft, review, prepare, coordinate the completion of, and submit all required disclosures, documents, and reports to the SEC, PSE, and other relevant regulatory agencies for PLCs.

  • Monitor new or upcoming laws, rules, and regulations issued by the SEC, PSE, and other relevant regulatory agencies for PLCs, including other regulatory development and ongoing disclosure obligations, and recommend or implement action plans or steps to ensure continued compliance.

  • Review and comment on proposed laws, rules, and regulations of the SEC, PSE, and other relevant regulatory agencies, and evaluate their potential impact.

Corporate Governance Framework

  • Establish the group-wide corporate governance framework which is aligned with the requirements and recommendations of the SEC for PLCs, best practices, international standards, and awarding benchmarks ("Governance Framework").

  • Draft, review, maintain, monitor, and update corporate governance manuals, policies, and procedures, including Board/Board committee charters, in accordance with and to implement the Governance Framework.

  • Evaluate and assess the effectiveness of the Governance Framework and its implementation, and recommend enhancements or improvements to strengthen governance practices and ensure practical and efficient application.

Compliance with Fiduciary and Disclosure Obligations

  • Ensure and monitor compliance by the directors, officers, shareholders, employees, and other relevant persons or entities of their disclosure and fiduciary obligations under the requirements of the SEC, PSE, and other relevant regulatory agencies for PLCs, including the Governance Framework.

  • Provide guidance and support to directors, officers, shareholders, employees, and other relevant persons or entities in relation to their disclosure and fiduciary obligations. 

Training and Evaluation

  • Perform the roll-out and implementation of the Governance Framework to ensure compliance.

  • Facilitate the conduct of corporate governance trainings, seminars, and programs for directors, officers, and employees.

  • Administer the annual performance of the self-evaluation of the Board, individual directors, the President and Chief Executive Officer, and other relevant persons or bodies, as applicable; as well as to facilitate the conduct of an external evaluation every three (3) years; and monitor the completion, consolidation, and reporting of the results.

Special Projects, Strategic Initiatives, and Advisory Services

  • Lead or support special projects and strategic initiatives relating to corporate governance, SEC and PSE regulatory compliance, Board/shareholders, and disclosure processes.

  • Provide governance and regulatory advisory support on strategic transactions, corporate actions, organizational changes, and other material initiatives to ensure alignment with applicable laws, regulations, and internal policies.

  • Perform such other governance, compliance, regulatory, and advisory functions as may be assigned from time to time in support of strategic objectives.

We are looking for:

  • Juris Doctor/Bachelor of Laws

  • Lawyer in good standing

  • Minimum of 7 years of experience in the Office of the Corporate Secretary, corporate governance, compliance, or other related departments

  • Preferably worked in a PLC

  • Strong knowledge of relevant regulations for PLCs (e.g., SEC and PSE)

  • Excellent analytical, problem-solving, and organizational skills

  • Effective communication and interpersonal skills

  • Ability to work independently and collaboratively in a fast-paced environment

  • Proficiency in GSuite and compliance management software
