About this role
We are looking for a Luxembourg-based lawyer at Vice President level with at least five years of relevant experience. As a member of the Continental Europe Legal team, the successful candidate will provide comprehensive local legal coverage for BlackRock’s activities and legal entities in Luxembourg, remote legal coverage for Belgium and support on selected matters across Continental Europe.
The role encompasses the full range of local legal matters other than fund documentation. This includes legal support for BlackRock’s Luxembourg operations, the local management company and local entities; institutional client work including investment management and advisory agreements; distribution and partnership arrangements; and a broad variety of corporate, commercial, governance and regulatory matters. As the Luxembourg-based legal point of contact for these matters, the successful candidate will work in close collaboration with product lawyers based outside Luxembourg, who are responsible for the documentation of BlackRock's public and private Luxembourg-domiciled funds.
The candidate will manage and coordinate legal and regulatory matters across a wide range of business and operations teams, draft and negotiate legal documents in English and French and contribute to the monitoring and implementation of legal and regulatory change. The role is based in Luxembourg and reports to the Director in Frankfurt responsible for the Continental Europe Legal team.
Responsibilities:
- Provide proactive, practical and commercial legal advice in relation to BlackRock’s activities in Luxembourg and, on a remote coverage basis, Belgium;
- Act as the principal local legal adviser for BlackRock’s Luxembourg platform on matters other than product documentation, working across business, operations and control functions;
- Provide day-to-day legal support to BlackRock’s Luxembourg management company, which holds both UCITS and AIFM permissions, including in relation to:
- contractual arrangements between the management company, funds and third-party service providers;
- interactions with regulators, in particular the CSSF; and
- collaboration with local Compliance and Financial Crime teams to support the management company in meeting its obligations;
- Advise on corporate law, corporate governance, country management and other legal entity matters relating to BlackRock’s Luxembourg operations;
- Support BlackRock’s institutional business in its local activities, including the drafting and negotiation of investment management agreements, advisory agreements and related institutional client documentation;
- Draft and negotiate distribution, co-marketing and partnership agreements, as well as licensing, services, intra-group and non-disclosure agreements and other commercial arrangements;
- Advise on legal and regulatory matters arising from BlackRock’s distribution activities and broader Luxembourg business operations;
- Work in close collaboration with product lawyers based outside Luxembourg, who are responsible for the documentation of BlackRock’s public and private Luxembourg-domiciled funds, to ensure effective coordination across the Luxembourg platform;
- Provide remote legal coverage for BlackRock’s activities in Belgium, working closely with local external counsel and relevant local colleagues;
- Support monitoring and managing selected EU and local legal and regulatory change projects, in collaboration with relevant regional and global teams;
- Commission external legal advice where appropriate, manage local counsel relationships and oversee related budget requirements;
- Develop and actively manage strong relationships with internal clients and stakeholders;
- Work closely with the local Compliance team and other members of BlackRock Legal & Compliance globally;
- Provide internal training on legal and regulatory topics; and
- Represent BlackRock Luxembourg Legal externally, including relevant industry bodies.
Knowledge and experience:
- Strong experience in asset management, investment funds or financial services, gained in private practice or in-house;
- Sound knowledge of the laws and regulations applicable to fund management and asset management activities in Luxembourg;
- Experience advising management companies and regulated financial services entities on corporate, governance, contractual and regulatory matters;
- Experience drafting and negotiating institutional client agreements, distribution and partnership arrangements and a broad range of commercial contracts;
- A good understanding of public and private Luxembourg fund structures and of the respective responsibilities of local and product counsel;
- Broad knowledge of UCITS, AIFMD, MiFID, SFDR and relevant Luxembourg regulatory developments; and
- Desirable: familiarity with the Belgian legal and regulatory framework relevant to asset management activities.
Qualifications and skills:
- Luxembourg law degree and preferably admission to the Luxembourg Bar, with at least five years of relevant experience, ideally at a leading law firm, in-house within a large financial services company or asset manager, or through a combination of both; client secondment experience would be an advantage;
- Excellent written and spoken French and English;
- Strong drafting, negotiation and presentation skills; and
- Ability to communicate complex legal and regulatory concepts clearly and effectively at all levels of the firm.
