ABOUT THE TEAM
The Legal and Governance team provides expert company secretarial and corporate governance support across OakNorth's group entities. Working closely with the UK-based Company Secretary and Deputy Company Secretary, the team ensures that all legal entities are effectively managed, statutory obligations are met, and the Board and executive management are well supported on governance and compliance matters.
ABOUT THE ROLE
We're looking for a Manager, Company Secretary to join our Gurugram team, working alongside the Deputy Company Secretary to deliver high-quality governance and corporate secretarial support across the group. You'll own board and committee coordination, maintain statutory records, ensure multi-jurisdictional regulatory compliance, and act as a key liaison between the organisation and its stakeholders. This is a senior, autonomous role suited to a qualified Chartered Secretary with a sharp eye for detail and strong experience in a group or multinational environment.
WHAT YOU'LL DO
Organise, schedule, and prepare agendas for Board and committee meetings; coordinate production of board papers in line with agreed timelines; attend meetings, record accurate minutes, and track follow-up actions.
Ensure the Board's compliance with statutory obligations and best practices in corporate governance; assist in developing and implementing governance policies and frameworks.
Maintain and update the company secretarial database and group structure chart, ensuring timely and accurate information on all group companies is recorded.
Ensure compliance with relevant corporate laws, regulations, and industry standards across all jurisdictions where the group operates; monitor legislative changes and advise the Board and management on implications.
Maintain statutory registers and ensure timely filing of annual returns, financial statements, and other required disclosures; draft and oversee execution of legal documents including shareholder agreements, resolutions, and contracts.
Collaborate with risk management and compliance teams to maintain robust internal controls; establish processes to identify and mitigate governance-related risks.
Manage shareholder queries and oversee the organisation of AGMs and other shareholder interactions; facilitate governance and compliance training for Board members and senior management.
Collate KYC information as required and support the group in managing legal risks, liaising with external counsel where necessary.
YOU'LL BE A GREAT FIT IF YOU HAVE…
Chartered Secretary qualification (ICSA/CGI or equivalent), with a Bachelor's degree in Law, Business, or a related field; advanced degrees preferred.
5+ years of experience in a similar company secretarial role, ideally within a group or multinational organisation.
Strong knowledge of corporate law, governance practices, and regulatory frameworks, with the ability to work across multiple jurisdictions.
Excellent organisational, project management, and communication skills, with the ability to work effectively with senior stakeholders and handle sensitive and confidential information with discretion.
Ability to work autonomously to strict deadlines, manage competing priorities under pressure, and take a proactive approach to governance.
Nice to Have
Experience managing compliance across multiple jurisdictions.
Familiarity with company secretarial software platforms.
Advanced degree in Law or Business Administration.
