Baker Tilly is growing its M&A Tax practice based in our new headquarters in New York City, where you will join a dedicated team focused on private equity and middle-market transactions. Our M&A Tax professionals advise private equity sponsors and their portfolio companies on both buy-side and sell-side transactions, including tax due diligence, transaction tax structuring, quantitative tax modeling, and the tax provisions of purchase agreements and other transaction documents. M&A Tax Managers will have significant responsibility for day-to-day transaction execution, direct exposure to Private Equity clients, and opportunities to grow into broader engagement leadership roles as the practice expands.
Our M&A Tax culture is entrepreneurial, collaborative, and highly integrated across levels. We operate as a national M&A Tax team with strong regional connectivity, giving team members meaningful visibility to leaders across Financial Advisory Services and direct exposure to Principals and Managing Directors who remain actively involved on deals. For ambitious professionals who are great team players, the practice offers significant opportunities to build technical depth, client judgment, leadership skills, and a long-term career as the team continues to grow.
Responsibilities:
- Lead day-to-day client and engagement management for middle-market private equity transactions, working directly with Principals, Managing Directors, Directors, and Senior Managers who remain actively involved in deal strategy and execution.
- Develop quantitative tax models to evaluate transaction structures, tax attributes, and deal economics and support client decision-making.
- Prepare clear client deliverables and presentations summarizing tax diligence findings, structuring alternatives, and key transaction considerations.
- QC deliverables prepared by Senior Associates and other junior team members, including our dedicated offshore M&A Tax resources in India.
- Review and analyze tax provisions in purchase agreements and other transaction documents, and work with legal counsel to resolve tax issues and align drafting with the agreed transaction structure.
- Manage data gathering, document review, and report preparation for tax due diligence engagements.
- Perform and supervise tax technical research and transaction analysis.
- Build strong relationships with private equity sponsors, portfolio company management, and other client stakeholders to deliver exceptional client service.
- Collaborate with our Financial Due Diligence team and other advisory specialists on integrated deals, and participate in business development, recruiting, and practice-building activities.
- Responsibly use AI tools to accelerate delivery of M&A Tax services.
Qualifications

- 5+ years of work-related experience in a mid to large size professional services firm.
- CPA or bar-licensed attorney required
- Experience with tax due diligence, transaction tax structuring, tax modeling, and transaction-document review; private equity and middle-market transaction experience is strongly preferred.
- Demonstrated analytical, problem-solving, organization, interpersonal, project management, communication skills, and highly developed Excel skills required.
- Strong written and verbal communication skills.
- Ability to provide exceptional client service, demonstrate commitment to continuous learning, display appropriate ethical knowledge and commitment and exhibit a sense of urgency and commitment to quality and the timely completion of duties.
- Eagerness to provide mentorship to junior team members.
- Must be willing and able to work from our NYC office 3 days per week.
