Title and Summary
Senior Counsel, Treasury CounselOverview – Cross-Border Services Treasury CounselTransfer Solutions, a business unit within Mastercard’s Commercial & New Payment Flows (CNPF) organization, delivers market-leading money movement solutions. We are seeking a Senior Counsel/Director to provide strategic legal support for treasury operations and global cross-border payment flows, including liquidity management, foreign exchange, banking arrangements, settlement flows, safeguarding of customer funds, and related legal issues across multiple jurisdictions.
This position reports to the Senior Managing Counsel/Vice President, Cross Border Services, and partners closely with Treasury, Product, Operations, Technology, Regulatory, Compliance, and Risk teams to support scalable, compliant, and resilient money movement services.
Role
• Advise on legal issues relating to treasury operations for cross-border money movement, including prefunding, settlement, reconciliation, liquidity, safeguarding, customer funds management, bank account structures, and intercompany funding arrangements.
• Support the development and launch of cross-border payment products by identifying and advising on legal and regulatory considerations relating to funds flow, settlement finality, FX, jurisdiction-specific treasury requirements, and related operating models.
• Draft, review, and negotiate treasury-related agreements, including bank account documentation, liquidity and credit facilities, custody or safeguarding arrangements, FX documentation, payment service provider agreements, correspondent banking arrangements, and other financial counterparty agreements.
• Partner with Regulatory, Compliance, and Risk teams on AML/KYC, sanctions, consumer protection, safeguarding, operational resilience, and related requirements as they affect treasury and settlement models.
• Review and support policies, procedures, and controls relating to treasury governance, customer funds protection, liquidity risk, cash management, credit exposure, counterparty risk, and escalation protocols.
• Provide legal support for expansion into new markets, including funds flow analysis, local banking and settlement arrangements, licensing implications, and coordination of external counsel.
• Collaborate with Treasury, Product, Operations, and Technology teams to design scalable treasury processes, embed legal controls where appropriate, and support incident response for settlement, reconciliation, liquidity, or counterparty events.
• Monitor legal and regulatory developments affecting cross-border payments, money transmission, safeguarding, FX, stablecoins or digital assets where relevant, and treasury operations, and translate developments into practical guidance for business stakeholders.
• Develop templates, playbooks, approval workflows, and training materials to promote consistent, efficient, and risk-calibrated legal support for treasury and money movement activities.
All About You
• Significant experience advising financial institutions, fintechs, payment companies, money transmitters, banks, or other regulated financial services businesses on complex legal and regulatory matters.
• Strong understanding of treasury operations, cash management, liquidity, settlement, FX, bank account structures, funds flow analysis, and financial counterparty documentation.
• Experience with legal and regulatory frameworks relevant to money transmission, cross-border payments, AML/KYC, sanctions, consumer payments, safeguarding of funds, operational resilience, and operational risk.
• Demonstrated ability to analyze complex funds flows and translate legal advice into practical, risk-calibrated recommendations for business stakeholders.
• Excellent drafting, negotiation, analytical, and communication skills, with the judgment and independence to lead legal workstreams in a fast-paced, cross-functional, global environment.
• Experience working across jurisdictions and cultures, with the ability to influence stakeholders and drive alignment among legal, business, operational, and control functions.
• JD or equivalent legal qualification required; active bar membership or equivalent authorization to practice law in at least one relevant jurisdiction.
Location
London, with global collaboration and occasional travel.
